What You'll Do

BirdEye is looking for an attorney to support its commercial legal efforts, especially at times of high volume (ends of months and quarters), in European locations, part-time in the US and during all hours when US counsel is unavailable.


The Commercial Associate will be responsible for providing legal advice, protection, and interpretation for BirdEye’s US, Indian, UK and Australian business units. This role collaborates closely with the Sales and Customer Success teams to develop SaaS agreements and related agreements that meet client needs, while protecting BirdEye’s legal and ethical interests. In addition to preparing SaaS agreements and related documentation, this role manages key legal/compliance programs that affect the business enterprise. Programs can be related to compliance, privacy, risk, labor and employment issues, and mergers and acquisitions.



Responsibilities


1. Specific Responsibilities

  • Contract Review, Drafting, Negotiation and Finalization
  • Coordinate directly with BirdEye’s Sales and Customer Success executives, managers and representatives to gather data, coordinate with internal resources and develop SaaS agreements and other documents for new and existing clients with both a commercial and legal mindset.
  • Develop new service agreements, manage multiple agreement iterations, and make final language determinations for non-standard agreements. Collaborate with Sales and Customer Success teams to develop contracts that meet client needs while maintaining integrity of BirdEye’s interests.
  • Draft new contract agreements for sales, account management and customer success teams to ensure all terms are contained in the agreement, the proper form has been used, initial prospect requirements are met and the contract is ready to be sent either to the prospect or internal teams (including Legal) for review (current, BirdEye’s non-Legal personnel are responsible for initially drafting agreements)
  • Review and draft revisions to contract documents provided by BirdEye clients.
  • Escalate issues/questions to the General Counsel for input.


2. Legal Program Management

  • Lead, develop, and manage key legal/compliance programs for the company. Programs may be related to privacy, domestic and international compliance, anti-corruption, or risk management that affect the business enterprise. Collaborate with business partners to develop and enhance programs.
  • Research, prepare materials, and deliver presentations/discussions to business stakeholders. Explain rules and regulations to business partners to ensure appropriate processes and policies are implemented to maintain compliance.
  • Track compliance requirements and lead efforts to provide required updates (e.g., TCPA, privacy).


3. Thought Leadership & Project Support

  • Research and prepare memos regarding new laws/regulations and their applicability to US and global business units (e.g., privacy, employment, immigration). Evaluate and interpret how government policies and regulations impact BirdEye’s business. Make recommendations to BirdEye business stakeholders regarding regulatory compliance.
  • Provide input to the General Counsel on challenging or unique issues and lead miscellaneous team projects. Support legal due diligence processes related to fund raising and/or M&A activity.


4. Education Background

  • Juris Doctor (or its equivalent) or Masters in Law


5. Detailed Prior Work Requirements

  • 10+ years as a Legal Counsel ? Contracts administration or contract in-take and initial contract drafting experience


6. Behavioral/technical skills; Competencies

  • Proven experience as a Legal Counsel in a firm or in-house environment
  • Excellent knowledge and understanding of corporate and commercial law and procedures
  • Full comprehension of the influences of the external environment of a corporation
  • Demonstrated ability to create legal defensive or proactive strategies
  • Awareness and ability to understand and draft contractual laws related to delivery of services and products
  • Ability to come up with creative problem-solving approach to contract deadlocks
  • Apply regulatory and legal knowledge in recommending trade-offs to help the decision- making process
  • High degree of professional ethics and integrity
  • Sound judgment and ability to analyze situations and information
  • Outstanding communication skills
  • Comfortable to operate both remotely and in an office environment
  • Flexible as to working hours, when necessary
  • Foster collaborative team environment with other legal counsel
  • Demonstrated ability to timely handle demands of various stakeholders
  • Demonstrated ability to independently handle key projects for the business enterprise

requirements

  • At least 10 years in-house or are a law firm reviewing and drafting SaaS agreements, software licenses, service agreements and related legal documents
  • Demonstrated ability to work independently but also to work with cross-functional and geographically dispersed teams
  • Able to support at least 50% of US working hours (8 am to 5 pm PST)
  • Participate in weekly meeting with Counsel and potentially with CFO
  • Experience working in a fast paced environment with strict review and drafting internal SLAs
  • Able to quickly learn the company’s different product offerings and business models to efficiently close commercial transactions
  • SaaS experience required
